Welcome to STREAMLINE SERVICES LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, digital consulting services, and related offerings (collectively, the “Services”).

By purchasing, subscribing to, or accessing any of our Services, or by clicking to accept these Terms where applicable, you (“Client,” “you,” or “your”) agree to be bound by these Terms and our Refund and Dispute Policy. If you are entering into these Terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

1. Scope of Services

STREAMLINE SERVICES LLC provides digital consulting and strategy services for businesses. Our primary offerings include:

  • Business Analytics: Data setup, dashboard creation, reporting, and performance tracking.
  • Digital Presence: Website optimization, digital branding strategy, content management, and local search optimization.
  • AI Implementation: Integration of artificial intelligence workflows, prompt engineering, automation setups, and third-party API configurations.
  • Lead Generation: Paid ad management, campaign execution, SEO website leads, and marketing funnel strategy.

Specific scope, timelines, fees, and deliverables for individual projects will be defined in a separate Statement of Work (SOW), Master Services Agreement (MSA), or order form executed between STREAMLINE SERVICES LLC and the Client.

2. Subscriptions, Fees, and Payment

2.1 Billing Structures

  • One-Time Fees: Onboarding, initial setups, custom audits, and fixed-scope implementation projects are billed as one-time charges or milestone-based payments.
  • Monthly Recurring Subscriptions: Ongoing consulting, management, lead generation maintenance, and AI workflow monitoring are billed automatically on a recurring monthly basis.

2.2 Payment Terms

  • All fees are due in advance of service delivery or as outlined in your SOW/invoice.
  • Recurring fees will be charged automatically to the credit card or payment method on file every 30 days or on your monthly renewal date.
  • Failure to process payment may result in immediate suspension of Services, dashboard access, and active lead generation campaigns.

3. Promotions and Special Offers

From time to time, STREAMLINE SERVICES LLC may offer promotional pricing, service bundles, free trials, or discount credits (“Promotions”). Participation in any Promotion is subject to these Terms and any specific promotional rules communicated at the time of the offer.

3.1 Eligibility & Limitations

  • New Clients Only: Unless explicitly stated otherwise, promotional discounts or setup-fee waivers apply only to new clients or first-time purchases.
  • One Per Customer: Promotions are limited to one per client/business entity and cannot be combined with other offers, custom quotes, or existing contracts.
  • Non-Transferable & No Cash Value: Promotional credits or discounts cannot be redeemed for cash, transferred, or applied retroactively to previous purchases.

3.2 Expiration and Auto-Renewal

  • Duration: Promotional rates apply only for the specific promotional period stated in the offer (e.g., “50% off your first month” or “free initial setup”).
  • Transition to Standard Pricing: Upon expiration of the promotional period, your service will automatically renew at STREAMLINE SERVICES LLC’s then-standard full price unless you cancel in accordance with our cancellation policy prior to the end of the promotional period.

3.3 Modification & Cancellation of Promotions

STREAMLINE SERVICES LLC reserves the right to modify, extend, suspend, or terminate any Promotion at any time without prior notice, provided that active promotional pricing already locked into an executed agreement will be honored for its specified duration.

4. Client Responsibilities & Data Security

4.1 Cooperation & Access

To deliver effective Services, STREAMLINE SERVICES LLC requires timely access to your systems, accounts (e.g., Google Analytics, CRM platforms, hosting, ad accounts), brand assets, and feedback. Delays on the Client’s end in providing required access or approvals may result in project timeline adjustments without adjusting payment schedules.

4.2 Accuracy of Data

You are solely responsible for the accuracy and legality of all data, text, content, and credentials provided to STREAMLINE SERVICES LLC.

5. Intellectual Property Rights

  • Company IP: STREAMLINE SERVICES LLC retains all ownership and rights to its pre-existing materials, proprietary software, AI templates, internal analytics frameworks, methodologies, and general knowledge developed independently of the Services.
  • Client IP: The Client retains ownership of all brand assets, proprietary customer data, and logos provided to STREAMLINE SERVICES LLC.

6. Service Disclaimers & Limitations of Liability

6.1 No Performance Guarantees

  • Lead Generation & Marketing: While STREAMLINE SERVICES LLC employs industry best practices, we do not guarantee specific numbers of leads, conversion rates, sales revenue, or client ROI.
  • AI & Technical Third Parties: AI tools and third-party APIs (e.g., OpenAI, Google, CRM providers) are subject to external updates, downtime, or policy shifts beyond our control. STREAMLINE SERVICES LLC is not responsible for outages or modifications caused by third-party platforms.

6.2 Warranty Disclaimer

ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. STREAMLINE SERVICES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STREAMLINE SERVICES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES). OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO STREAMLINE SERVICES LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

7. Term and Termination

  • Termination for Convenience: You may terminate monthly recurring Services by providing written notice in accordance with the timeline specified in our Refund and Dispute Policy.
  • Termination for Cause: Either party may terminate these Terms or any active SOW immediately if the other party materially breaches these Terms and fails to cure such breach within ten (10) days of receiving written notice.
  • Effect of Termination: Upon termination, all outstanding unpaid invoices become immediately due, and access to STREAMLINE SERVICES LLC systems, active dashboards, and managed campaigns will cease at the end of the paid billing period.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State where STREAMLINE SERVICES LLC is registered (Hawaii, U.S.), without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state court of that jurisdiction.

9. Changes to Terms

STREAMLINE SERVICES LLC reserves the right to modify or update these Terms at any time. We will provide notice of material updates by posting the revised Terms on our website or notifying you via email. Continued use of our Services following any modifications constitutes your acceptance of the updated Terms.
